1. One-time Initial Aaxsys set up fee of $ 2995
2. Monthly Membership Fee base on Volume of Inventory:

   level 1	1 to 50 units	$100.00
   level 2	51 to 100 units	$175.00
   level 3	101 to 200 units	$250.00
   level 4	201 to 300 units	$300.00
   level 5	301+ units negotiated contract rate based on volume

TERMS

1. A minimum 6 month contract
2. 45 days written notice of intention to terminate
3. A valid Credit Card is charged for ALL set up & monthly fees
   1. Initial set up fee is charged immediately
   2. Monthly fees are charged on or before the 1st day of the month for that month

      3. World Wide Marketing of Members' inventory by Aaxsys through the GHN
   4. On line and e-mail training & support
      1. Within the FIRST 45 days of sign-up
      2. Targeted to only 'ONE' focus person or group who then trains others in the Company
2. Monthly Membership Fee includes
   1. Continual marketing of Member's inventory World Wide
   2. On line or e-mail 'help' free up to 2 hours monthly
   3. System wide upgrades on existing modules
   4. 'Fulcrum' news-blasts including:
      1. Training tips & new features
      2. New Members & affiliate partners
      3. Notification of NEW Aaxsys powered websites for participation
   5. Free participation in Aaxsys User's Forums

ADDITIONAL TERMS

1. Aaxsys Technology may advertise the availability of member(s) inventory in print, other media, or over the internet to promote the marketing and growth of the system.
2. Aaxsys does not make any claim to manage member(s) inventory, operations, occupancy, or negotiated contracts with other Aaxsys member(s)
3. Aaxsys may adjust member's monthly fees, and/or charge additional programming fees for customized upgrades for that member.
4. Upgrades benefiting all members resulting in a blanket monthly fee increase are subject to (90) days notification, and distributed proportionately to member(s) based on usage.
5. Aaxsys Technology, a California Corporation, Trade marked and patented, is a subsidiary of American Marketing Systems Inc. (AMSI).
   1. Aaxsys member databases are operated over secure servers and pass-word protected
   2. Login capability by Aaxsys administrators is for the sole purpose of support, maintenance, or the addition of new applications.
6. Aaxsys Membership may NOT be 'franchised', re-sold or offered to other entities without the express written permission of Aaxsys Technology as to the terms which shall apply.

2. Enhanced visibility on Aaxsys powered sites
   1. Inventory slide shows on the front page
   2. Banner or Footer Ads

   1. A Central Real Time Booking Site for:
      1. Requests
      2. On line bookings (if applicable)
      3. Placing Real Time reservations direct into inventory by Providers & Corporations
4. Additional Training or inputting of Member information
   1. Fee Contracts available for inventory set up
   2. On site contracts with Member staff
   3. Hourly or Contract fees for additional support

REFERRAL FEES

1. A $ 250 referral fee is paid to anyone referring a New Aaxsys Member following the 6 month minimum agreement.
2. The referral must be verified in writing by Aaxsys Technology & the New Member
